             ABERDEEN GROWTH OPPORTUNITIES VCT PLC ("the Company")


                       CLOSING OF OFFER FOR SUBSCRIPTION


The Company announces that the Offer for Subscription closed at 3.00pm on Friday
28 June 2002, applications having been received for 10,112,871 Ordinary shares
at 100p per share.


Under the terms of the Prospectus, the directors have the power to allot further
equity securities having a nominal value not exceeding 10% of the issued
Ordinary Share capital of the Company immediately following the close of the
Offer.


All terms used in this announcement are as defined in the Company's Prospectus
dated 7 September 2001.
