MARWYN VALUE INVESTORS LIMITED (the 'Company')

Results of Meetings 

The Company is pleased to announce that each of the resolutions which were proposed without amendment at the Warrantholder Meeting and the EGM held earlier today have been duly passed by the requisite majorities. 

The Company's reorganisation (including the Migration) remains subject to the relevant consents and confirmations being granted by the authorities in Guernsey and the Cayman Islands as set out in the circular to the Company's shareholders and warrantholders dated 8 April 2009 (the 'Circular'). It is currently expected that the Migration Effective Date will be around 12 June 2009. 

From the Migration Effective Date, the Ordinary Shares and Warrants will cease to be capable of being admitted to CREST. Instead, CREST members will be able to hold interests in Ordinary Shares and Warrants in CREST pursuant to depositary interest arrangements. Details of the action to be taken by shareholders and warrantholders who wish to hold Depositary Interests will be sent to the Company's shareholders and warrantholders prior to the Migration Effective Date and will also be available on the Company's website (www.marwynvalue.com).

Terms used in this announcement shall the meanings set out in the Circular.
