that Legal & General Group Plc Companies were beneficial owners of shares
representing 3.01% of the issued share capital of the Company. Notification by
the Company of this disclosure was overlooked.

The Company was notified on 9 March 2004 that Legal & General Group Plc and/or
its subsidiaries held a beneficial interest in 5,183,678 Marshalls plc ordinary
shares representing a material holding of 3.09%.
