                             Disclosure of Interest


The Company has today been notified pursuant to Section 198 of the Companies Act
1985, that, as the result of a recent sale, Morley Fund Management Limited (a
subsidiary of Aviva plc) is to be regarded as having a material interest in
8,335,714 shares in Marshalls plc representing 4.99% of the issued share
capital.

This reduction in the notifiable interest has resulted from Morley Fund
Management Limited's holding dropping through one percentage point in terms of
the above legislation.
