                             Disclosure of Interest


The Company has been notified pursuant to Section 198 of the Companies Act 1985
by Threadneedle Asset Management Limited that Zurich Financial Services and its
Group are to be regarded as having a material interest in 6,486,554 shares in
Marshalls plc, representing 3.88% of the issued share capital.  This reduction
in the notifiable interest has resulted from Zurich Financial Services and its
Group's holding dropping through one percentage point in terms of the above
legislation.
