                   Marks and Spencer Group plc: Result of EGM

Marks and Spencer Group plc ('Marks & Spencer' or the 'Company') announces that
the special resolutions relating both to the authority for the Company to
acquire ordinary shares pursuant to the Tender Offer and a general share
repurchase authority were approved by shareholders at the extraordinary general
meeting held earlier today.

The Tender Offer closes today at 3.00pm. To be valid, tender forms or CREST
acceptances must be received by that time. Full details of the Tender Offer were
set out in the circular to shareholders dated 21 September 2004.
