HOLDING IN COMPANY

Marks and Spencer Group p.l.c. was notified on 17 December 2003 by Brandes
Investment Partners, LLC ('Brandes') that at close of business on 12 December
2003:

(i)Brandes was interested in 114,672,731 ordinary shares and 16,014,601 American
Depository Receipts in Marks and Spencer Group p.l.c., which together represent
the equivalent of 210,760,337 ordinary shares - approximately 9.3% of the issued
share capital of the Company.

(ii)The registered holders of these shares are approximately 480 custodian banks
unaffiliated with Brandes.

(iii)None of the shares are shares in which Brandes is interested by virtue of
section 208(5) of the Act.
