DISCLOSURE OF INTEREST IN VOTING SHARES

Marks and Spencer Group p.l.c. was notified on 27 August 2003 by Brandes
Investment Partners, LLC ('Brandes') that at close of business on 22 August
2003:

(i) Brandes was interested in 75,401,776 ordinary shares and 10,939,056 American
Depository Receipts in Marks and Spencer Group p.l.c., which together represent
the equivalent of 141,036,112 ordinary shares - approximately 6.2% of the issued
share capital of the Company.

(ii) The registered holders of these shares are approximately 460 custodian
banks unaffiliated with Brandes.

(iii) None of the shares are shares in which Brandes is interested by virtue of
section 208(5) of the Act.
