DISCLOSURE OF INTEREST IN VOTING SHARES

Marks and Spencer p.l.c. was notified today by Brandes Investment Partners, L.P.
('Brandes') that at close of business on 1 March 2002:

(i)     Brandes was interested in 98,546,889 ordinary shares and 11,969,499
American Depository Receipts in Marks and Spencer p.l.c., which together
represent the equivalent of 170,363,883 ordinary shares - approximately 5.9% of
the issued share capital of the Company.

(ii)     The registered holders of these shares are approximately 560 custodian
banks unaffiliated with Brandes.

(iii)     None of the shares are shares in which Brandes is interested by virtue
of section 208(5) of the Act.
