DISCLOSURE OF INTEREST IN VOTING SHARES
Marks and Spencer p.l.c. was notified today that at close of business on 20
November 2001 Franklin Resources Inc was interested in 83,016,750 ordinary
shares and 400,911 American Depository Receipts in Marks and Spencer p.l.c.
Together these represent 85,422,216 ordinary shares which is 2.9998% of the
issued share capital of the Company.
