LETTER TO COMPANY ANNOUNCEMENTS OFFICE

               DISCLOSURE OF INTEREST IN VOTING SHARES

We have been notified today that:

(a)   at close of business on 6 September 2000, Barclays PLC, through its       
      subsidiary Barclays Bank PLC, held 93,374,457 shares in Marks & Spencer   
      plc., representing 3.24% of the issued share capital of the Company.
      Of the overall disclosure, 39,000,000 shares resulted from interests      
      acquired by Barclays Capital Securities Limited (BCSL) as a result of a   
      customer financing transactions.

(b)   at close of business on 7 September 2000, Barclays PLC, through its
      subsidiary Barclays Bank PLC, no longer had a notifiable interest in the
      capital of the Company.
