DEALING BY DIRECTORS

The following transactions have been confirmed today:

  * on 22 May 2001 the trustees of the Marks and Spencer 1997 Employees
    Profit Sharing Scheme purchased 3,052,852 shares in Marks and Spencer at
    an average price of 264.132p.
  * On 1 June 2001 shares allotted to the Directors in 1998 were released by
    the Trustees of the Delayed Profit Sharing Scheme into the name of Lloyds
    TSB Registrars Corporate Nominee Limited. The transfer does not affect the
    total number of shares held.
