Offer update

On 5 December 2013, the boards of Merck KGaA, Darmstadt, Germany (Merck) and AZ Electronic Materials S.A. (AZ) announced that they had reached agreement on the terms of a recommended cash offer for the entire issued and to be issued share capital of AZ (the Offer).  The Offer is made by Merck 15. Allgemeine Beteiligungs-GmbH (Bidco), an indirect wholly-owned subsidiary of Merck.  The full terms and conditions and the procedures for acceptance of the Offer are set out in the offer document which was issued by Bidco on 20 December 2013 (the Offer Document).

On 18 April 2014, Merck announced that the Offer had been extended until 1.00 p.m. (London time) on 2 May 2014 and that the latest date by which the Offer could become or be declared unconditional as to acceptances had been extended to the date 14 days following the earliest to occur of: (i) the date on which Chinese antitrust clearance is granted; and (ii) 2 May 2014.

Satisfaction of Chinese antitrust clearance Condition

Merck is pleased to announce that it has today received Chinese antitrust clearance from the Ministry of Commerce of the People's Republic of China (MOFCOM), meaning that the Condition relating to Chinese antitrust clearance has now been satisfied.  As previously announced, all other Conditions relating to antitrust clearance have also been satisfied.

Accordingly, the latest date by which the Offer can become or be declared unconditional as to acceptances is 14 May 2014.

Lowering of Acceptance Condition threshold

As the Condition relating to MOFCOM has now been satisfied, pursuant to Merck's agreement announced on 14 March 2014, Merck has lowered the threshold in respect of the Acceptance Condition to the Offer from 95 per cent. to 75 per cent.  This means that the Offer is now subject to valid acceptances being received (and not, where permitted, withdrawn) by not later than 14 May 2014 in respect of AZ Shares that, together with any AZ Shares which Bidco may otherwise have acquired, constitute not less than 75 per cent.: (1) of the capital carrying voting rights in AZ; and (2) of the voting rights in AZ.

The Offer remains open for acceptances as set out below.

Next closing date

The Offer, which remains subject to the other terms and conditions set out in the Offer Document, is being extended and will remain open for acceptance until 1.00 p.m. (London time) on 7 May 2014.

AZ Shareholders who have not yet accepted the Offer are urged to do so by the following deadlines:

·     If you are a holder of AZ Shares in certificated form (that is, not in CREST), you should complete and return the Form of Acceptance, which accompanied the Offer Document, as soon as possible and, in any event, by no later than 1.00 p.m. (London time) on 7 May 2014.

·     If you are a holder of AZ DIs (in CREST), you should ensure that an Electronic Acceptance is made by you or on your behalf and that settlement occurs as soon as possible and, in any event, by no later than 1.00 p.m. (London time) on 7 May 2014.  If you are a CREST-sponsored member, you should refer to your CREST sponsor as only your CREST sponsor will be able to send the necessary TTE instruction(s) to Euroclear.

Level of acceptances

As at 1.00 p.m. (London time) on 30 April 2014, Bidco had received valid acceptances of the Offer in respect of 241,969,338 AZ Shares, representing approximately 63.52 per cent. of the existing issued share capital of AZ.  As at 1.00 p.m. (London time) on 30 April 2014, Bidco has purchased 150,000 AZ Shares, representing approximately 0.04 per cent. of AZ's fully diluted share capital.

Accordingly, as at 1.00 p.m. (London time) on 30 April 2014, Bidco had purchased or received valid acceptance in respect of a total of 242,119,338 AZ Shares, representing approximately 63.56 per cent. of the existing share capital of AZ, which Bidco may count towards the satisfaction of the Acceptance Condition to the Offer.

Before the announcement of the Offer on 5 December 2013, Bidco had received irrevocable undertakings from AZ Directors who (or whose close family) hold AZ Shares in respect of, in aggregate, 2,735,070 AZ Shares issued or subject to options and/or awards, representing approximately 0.705 per cent. of AZ's fully diluted share capital.  As at 30 April 2014, Bidco had received acceptances pursuant to these undertakings in respect of 1,105,080 AZ Shares in issue, representing approximately 0.285 per cent. of AZ's fully diluted share capital, and such acceptances are included in the total number of valid acceptances referred to above.  AZ Shares subject to options and/or awards granted to AZ Directors under the AZ Share Plans remain subject to irrevocable undertakings.  Such options and/or awards are expected to be exercised upon the Offer becoming wholly unconditional and, assuming the exercise and/or vesting of all such options and/or awards, represent 1,629,990 AZ Shares (approximately 0.420 per cent. of AZ's fully diluted share capital).

Notice to US holders of AZ Shares

The Offer is being made in the United States pursuant to Section 14(e) and Regulation 14E under the Exchange Act and otherwise in accordance with the requirements of the Code.
