Director's Share Dealing

The Company was informed on 26^th November 2010 that Rene Nominees (IOM) Ltd on trust for Mr Arron Banks, Director of the Company, purchased 25,000 Ordinary Shares in the Company at 14.97p per share on 26^th November 2010.  As a result of this purchase the total holding of Ordinary Shares held by Rene Nominees (IOM) Ltd on trust for Mr Banks is 1,110,833 (1,077,500 held on behalf of his SIPP and 33,333 directly) representing 1.26% of the issued ordinary share capital of the Company.

Mr Banks is also beneficially interested in 51% of the issued share capital of Rock Holdings Ltd.  The total Ordinary Shares held in the Company by Rene Nominees (IOM) Ltd on trust for Rock Holdings Ltd is 7,038,193 representing 7.98% of the issued ordinary share capital of the Company.

In addition, Mr Banks is beneficially interested in 45.8% of the issued share capital of Southern Rock Insurance Company Ltd.  The total Ordinary Shares held in the Company by Rene Nominees (IOM) Ltd on trust Southern Rock Insurance Company Limited is 6,750,799 representing 7.66% of the issued ordinary share capital of the Company.

The total Ordinary Shares in which Mr Banks has a beneficial interest is 14,899,825 representing 16.90% of the issued ordinary share capital of the Company.

The Company was also informed on 29^th November 2010 that Pershing Nominees Limited on trust for Mr Jim Mellon, Chairman and Director of the Company, purchased 50,000 Ordinary Shares at 14p per share on 26^th November 2010 and 22,000 Ordinary Shares at 14p per share on 29^th November 2010.  As a result of these purchases Pershing Nominees Limited holds 418,666 Ordinary Shares on trust for Mr Mellon representing 0.47% of the issued ordinary share capital of the Company.

Burnbrae Limited, a company which is indirectly wholly owned by a trustee of a settlement under which Mr Mellon has a life interest, holds 16,000,000 Ordinary Shares representing 18.14% of the ordinary share capital of the Company

Mr Mellon also holds 666,666 Ordinary Shares in his own name representing 0.76% of the issued ordinary share capital of the Company.

The total Ordinary Shares in which Mr Mellon has a direct and indirect beneficial interest is 17,085,332 representing 19.37% of the issued ordinary share capital of the Company.
