Completion of the Disposal of the Agricultural Products Business 
Board Changes


Disposal of Agricultural Products Business

Further to the announcement of 17 February, E D & F Man, the international
financial services group, announces that on 24 March 2000 it completed the
disposal of its Agricultural Products Business to a newly formed company
controlled by a management buyout group ('Newco'). Man Group shareholders
approved the disposal at an Extraordinary General Meeting held on 13 March
2000.

On completion, Man received a total value of £569m.  This value was satisfied
by the repayment or assumption by Newco of £508.8m in net debt and the
effective cancellation of 14.6 million Man shares with a value of £60.2m (at
an agreed cancellation price of 412p per share). 

Board Changes

Those Directors participating in the management buyout of the Agricultural
Products Business have resigned from the Board with effect from 24 March 2000.
 As from the same date, Harvey McGrath became Chairman of the Group and
Stanley Fink became Chief Executive.

Andrew Sutton, who has been Group Finance Director since January 1996, will
become Corporate Development Director with effect from 8 June 2000, being the
scheduled date for announcement of the Group's annual results.  On that date,
Peter Clarke, who has been executive Director with responsibility for
Corporate Finance and Investor Relations since April 1997, will become Group
Finance Director.

Kevin Davis, Managing Director of Brokerage, has been appointed to the Board
of Directors of the Company with effect from 1 April 2000, as an executive
Director with responsibility for the Group's brokerage activities.

Commenting on today's announcements, Harvey McGrath, Man Group Chairman, said:

'The completion of this transaction fulfils the Group's stated strategy of
focusing on its successful financial services business.  Together with the
Board changes announced today, the Group is now well placed to develop and
grow these activities further.' 


Additional Information
Kevin Davis has not been a director of any other publicly quoted company at
any time within the last five years.  There are no details to be disclosed
under paragraph 6.F.2(b) to (g) of the London Stock Exchange Listing Rules.
