Employee Trust Dealing

The E D & F Man 1990 Employee Trust (the 'Employee Trust') disposed of 2,009,733
ordinary shares in the Company at an average price of 1564.85 pence per ordinary
share between 24th February 2004 and 27th February 2004. Following this
disposal, which represents a sale of surplus shares under Man Group's Deferred
Equity Incentive Schemes, the Employee Trust no longer has a holding in the
ordinary shares of the Company.

All Executive Directors of the Company are deemed to be interested in the shares
held by the Employee Trust and the 587,497 shares over which the Employee Trust
holds a security interest.
