Directors' Notification of Dealing in Shares

Notification is given pursuant to Chapter 16.13 of the Listing Rules, that on
7th April 2000 the interests of the E D & F Man Group 1990 Employee Trust
('the Employee Trust') registered in the name of E D & F man Employee
Investments (Jersey) Ltd a/c 13071 A/B in the share capital of the company
have been reduced by 99,381 shares to 3,078,513 ordinary shares as a result of
the transfer on that date of 99,381 ordinary shares to three beneficiaries of
the Employee Trust Share Option Scheme established by the Employee Trust for
the benefit of full time employees of the company (or any subsidiary).  The
exercise price payable to the Employee Trust for options granted under the
scheme is 140p per ordinary share.

Also on the same date the security interest of the Employee Trust was reduced
by 122,593 shares (for nil consideration).  The Employee Trust now has a
security interest over 1,346,547 shares.

Executive Directors of the company are deemed to be interested in the
3,078,513 shares held by the Employee Trust and the 1,426,191 shares over
which the Employee Trust holds a security interest.
