Directors' Notification of Dealing in Shares

Notification is given pursuant to Chapter 16.13 of the Listing Rules that on
26th June 2000 the Company has made awards to the following directors under
the E D & F Man Long Term Incentive Plan ('the Plan') which was approved by
shareholders on 2nd September 1996:

Peter Clarke           39,009 ordinary shares
Kevin Davis            39,009 ordinary shares
Stanley Fink           50,712 ordinary shares
Harvey McGrath         50,712 ordinary shares


Awards vest after four years for no consideration and are subject to certain
performance criteria as set out in the rules of the Plan.

The E D & F Man Group 1990 Employee Trust ('the Employee Trust') holds
2,926,908 ordinary shares and has a security interest over 1,322,086 shares.

Executive Directors of the company are deemed to be interested in shares held
by the Employee Trust and shares over which the Employee Trust holds a
security interest.
