Mr Oddy holds awards for 175,736 shares under the Group's Performance Share
Plan, subject to certain performance criteria set out in the Plan Rules.

Furthermore, notification is given pursuant to Chapter 16.13 of the Listing
Rules, that on 1st March 2000, the security interest of the E D & F Man Group
1990 Employee Trust ('the Employee Trust') was reduced by 12,889 shares (for
nil consideration).  The Employee Trust now has a security interest of
1,538,828 shares.

Executive Directors of the company are deemed to be interested in the
3,212,738 ordinary shares held by the Employee Trust and the 1,538,828 shares
over which the Employee Trust holds a security interest.
