Director Shareholding

Notification is given pursuant to Chapter 16.13 of the Listing Rules that on
15th June 2001 the interests of the 1990 Employee Trust ('the Employee Trust')
registered in the name of E D & F Man Employee Investments (Jersey) Ltd a/c
13071 A/B in the share capital of the company have decreased by 219,583 shares
to 1,347,864 shares as a result of the transfer of 219,583 shares for nil
consideration to several beneficiaries of the Man Group Long Term Incentive
Plan (the 'Plan') which was approved by shareholders on 2nd September 1996.

Executive Directors of the company are deemed to be interested in the
1,347,864 shares held by the Employee Trust and the 1,003,914 shares over
which the Employee Trust holds a security interest.
