This notification relates to transactions to be notified in accordance with DTR 3.1.4R(1)(a)

On 24^th March 2011, the following share awards were made to, or shares were purchased by, directors of Man Group plc.

PETER CLARKE:

Deferred Bonus Awards:

-  242,264 ordinary shares awarded under the Man Group 2006 Long Term Incentive Plan. Earliest vesting date 24^th March 2014 being the end of the performance period for the linked Matching Shares (mentioned below).

-  Options granted over 3,629,238 ordinary shares under the Man Group 2010 Deferred Bonus Share and Option Plan, exercisable at a price of 273.0795 pence per share (being a 10% premium to current market value) between 24^th March 2014 and 23rd March 2021.

Long Term Incentive Awards subject to performance criteria as set out in the respective scheme rules:

-  421,239 ordinary shares including Matching Shares awarded under the Man Group 2006 Long Term Incentive Plan. Earliest vesting date 24th March 2015.

-  Options granted over 345,073 ordinary shares under the Man Group Unapproved Executive Share Option Scheme 2001, exercisable at a price of 247.50 pence per share between 24th March 2014 and 23rd March 2021.

Deferred Bonus Awards:

-   Shares acquired and designated as 'bonus investment shares' for the purposes of the linked Matching Shares (mentioned below): 84,752 ordinary shares at a price of 252.25669 pence per share. These shares are restricted until 24^th March 2014 being the end of the performance period for the linked Matching Shares (mentioned below).

-  Options granted over 777,693 ordinary shares under the Man Group 2010 Deferred Bonus Share and Option Plan, exercisable at a price of 273.0795 pence per share (being a 10% premium to current market value) between 24^th March 2014 and 23^rd March 2021.

Long Term Incentive Awards subject to performance criteria as set out in the respective scheme rules:

- 290,670 ordinary shares including Matching Shares awarded under the Man Group 2006 Long Term Incentive Plan. Earliest vesting date 24^th March 2015.

-  Options granted over 233,157 ordinary shares under the Man Group Unapproved Executive Share Option Scheme 2001, exercisable at a price of 247.50 pence per share between 24^th March 2014 and 23^rd March 2021.
