Man Group plc (the "Company")

Listing Application

Application has been made to the UK Listing Authority for the admission to the Official List of a Listing of 3,770,185 new ordinary shares of 3 ^3/7 US cents each in Man Group plc and to the London Stock Exchange for such Listed shares to be admitted to trading.

The application is being made in respect of shares to be issued upon the closing of the Ore Hill acquisition (as announced on 29 March 2011).

The shares will rank pari passu in all respects with the existing ordinary shares of the Company.

Admission of such shares to the Official List and to trading on the London Stock Exchange is expected to occur on 3 May 2011.
