                       AEC Education PLC ('the Company')

The Directors of AEC have noted the movement in the Company's share price today
and confirm they have received a tentative approach from a third party in
respect of a possible reverse of that business into AEC as defined in the AIM
Rules and that such transaction may require a 'whitewash' for the purposes of
the City Code on Takeovers and Mergers.

The Directors stress there can be no guarantee whatsoever that any proposed
transaction will be successfully concluded.

A further announcement will be made if and when appropriate.
