Following approval by the Company's shareholders at its Annual
General  Meeting  on  16 January 2001 of a  new  discretionary
share   option  scheme  for  senior  executives,  options   to
subscribe  for Ordinary Shares were awarded under that  scheme
at an exercise price of 361.5 pence on 14 February 2001 to the
following directors of the Company:

Copies  of  the circular setting out the terms  of  the  share
option   scheme,   which   was   previously   circulated    to
