Total Voting Rights and Share Capital

For the purposes of the transitional provisions of the Financial Services 
Authority's Disclosure and Transparency Rules, the total number of ordinary 
shares of 25p of Macfarlane Group PLC in issue at the date of this notice is 
115,019,000 with each share carrying the right to one vote.

There are no shares held in treasury.

The total number of voting rights in Macfarlane Group PLC is therefore 
115,019,000.

The above figure may be used by shareholders as the denominator for the 
calculations by which they will determine if they are required to notify their 
interest in, or a change in their interest in, Macfarlane Group PLC, 
under the Disclosure and Transparency Rules.
