PURCHASE OF OWN SHARES


Macfarlane Group PLC announces that on 18 December 2001, it purchased for
cancellation 225,000 ordinary shares of Macfarlane Group PLC, representing
0.19% of Macfarlane's issued share capital, at a price of 77.50 pence per
share. Upon the cancellation of these shares, the number of Macfarlane shares
in issue will be 119,475,000.
