PURCHASE OF OWN SHARES



Macfarlane Group PLC announces that on 10 September 2001, it purchased for
cancellation 3,826,391 ordinary shares of Macfarlane Group PLC, representing
3.08% of Macfarlane's issued share capital, at a price of 84.00 pence per
share. Upon the cancellation of these shares, the number of Macfarlane shares
in issue will be 120,359,349.
