On 9 May 2001 pursuant to the Macfarlane Group PLC Savings-Related Share
Option Scheme 2000, options were granted over a total of 2,033,959 Macfarlane
shares of 25p each to 617 employees of Macfarlane. Such options become
exercisable on or after 9 May 2004 at a price of 59p.


As participants in the above scheme, the following options were granted to
