DIRECTORS' SHARE INTERESTS
The Company has today been notified by Mr K P Legg (non-executive director) that
he  has  recently  acquired,  in his role as an  Executor  and  trustee,  a  non
beneficial interest in 23,190 shares of MPE and that he has today sold the  same
number of shares at 295.25 pence per share in the same capacity.

His  current  interest  in the issued and voting share capital  of  the  Company
remains as follows:
