The following notification is made in accordance with the FSA's Disclosure and
Transparency Rules.



As at 28 February 2007, London Stock Exchange Group plc's capital consisted of
210,599,407 ordinary shares of 6 79/86 pence each with voting rights together
with 7,845,459 B shares of 200 pence each and 119,367,250 deferred shares of 200
pence each.



Therefore, the total number of voting rights in London Stock Exchange Group plc
is 210,599,407 ordinary shares.



The above figure (210,599,407) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, London Stock Exchange Group
