RULE 2.10 ANNOUNCEMENT

London Stock Exchange plc announces, in accordance with Rule 2.10 of the City
Code on Takeovers and Mergers, that subsequent to an issue of  581,474 ordinary
shares under the London Stock Exchange Share Scheme, its issued share capital as
at 23 February 2006 comprises 255,692,743 ordinary shares of 55/6pence each.
