RULE 2.10 ANNOUNCEMENT

London Stock Exchange plc announces, in accordance with Rule 2.10 of the City
Code on Takeovers and Mergers, that subsequent to an issue of  72,260 ordinary
shares under the London Stock Exchange Share Scheme, its issued share capital as
at 24 January 2006 comprises 254,883,030 ordinary shares of 55/6pence each.
