London Stock Exchange plc received the following letter on 11 May 2006 from
Nightingale Acquisition Limited a subsidiary of The Nasdaq Stock Market, Inc.


We hereby notify you in accordance with Part VI of the Companies Act 1985 (the 
"Act") that, following the acquisition (the "Acquisition") of 13,791,440 
ordinary shares of 5 5/6 pence each in the London Stock Exchange plc 
(the "LSE"):


(a)  as at 10 May 2006, Nightingale Acquisition Limited ("NAL") was
interested for the purposes of the Act in 61,681,720 ordinary shares of 5 5/6
pence each in the relevant share capital, as defined in section 198(2) of the
Act, of the LSE ("Relevant Shares") representing approximately 24.1% of the
issued share capital of the LSE.  Prior to the Acquisition, NAL was interested
in 47,890,280 Relevant Shares representing approximately 18.7% in aggregate of
the issued share capital of the LSE;



(b)  we are or will be (once registration in the register of members of
the LSE has taken place) the registered holder of the Relevant Shares; and



(c)  none of the Relevant Shares are shares in which we are interested
by virtue of section 208(5) of the Act.
