Result of Meeting

Location Sciences (AIM: LSAI), the leading location data verification company, announces that all Resolutions put to Shareholders at the General Meeting held earlier today were duly passed.

Accordingly, a re-organisation of the Company's share capital will occur with effect from close of business today comprising a sub-division of the Existing Ordinary Shares to create two classes of shares: New Ordinary Shares with a nominal value of 0.1 pence and New Deferred Shares with a nominal value of 0.9 pence.

The proportion of the issued ordinary share capital of the Company held by each Shareholder immediately before and after the Sub-division will remain unchanged. All entitlements under outstanding share options shall be recalculated accordingly as a result of the Sub-division.

Following the Sub-division, the ISIN code for the New Ordinary Shares will remain GB00BGT36S19 and the SEDOL code for the New Ordinary Shares will remain BGT36S1.

In addition, application has been made for, in aggregate, 114,858,571 New Ordinary Shares to be admitted to trading on AIM   immediately following the Sub-division comprising; 111,430,000 Placing Shares, 1,142,857 Broker Shares and 2,285,714 Settlement Shares. Admission is expected to occur at 8.00 am on 27 March 2020. 

As announced earlier today, certificates in relation to the Warrants will be posted to Placees by no later than 10 Business Days after Admission.

Appointment of Joint Broker

Peterhouse Capital Limited will be appointed as joint broker to the Company immediately following Admission.

Total Voting Rights

Following Admission, the Company will have 491,510,305 Ordinary Shares in issue admitted to trading on AIM. This figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.

Capitalised terms in this announcement have the same meaning as given in the Circular.
