            Empire Online Limited ('Empire Online' or the 'Company')

                                  Offer update

On 2 September 2005, Empire Online announced that it had received an approach 
('Approach') from a party interested in merging its business with that of Empire
Online, via the acquisition of the entire issued and to be issued share capital
of the Company, and that discussions were at an extremely early stage.  This
party was Sportingbet plc, as the board of Sportingbet plc announced on 4
September 2005.

Empire Online can now confirm that, by mutual agreement, it has ceased
discussions with Sportingbet in respect of the Approach.
