Legal & General Group Plc ('Legal & General Group') announces, in compliance
with its obligations under transitional provision 6 of the Transparency
Directive, that:


As at the date of this announcement:


  • Legal & General Group's capital consists of 6,532,351,118 ordinary shares
    of 2.5p each, with voting rights.


  • Legal & General Group does not hold any shares in Treasury.


  • Therefore, the total number of voting rights in Legal & General Group is
    6,532,351,118.


The above figure of 6,532,351,118 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change of their interest in, Legal & General Group under
the FSA' s Disclosure and Transparency Rules.
