Non Executive Directors' purchase

On 25 March 2004 James Strachan, a non-executive director of Legal & General
Group Plc ('Group'), purchased 6,014 ordinary shares of 2.5p each ('shares') in
Group at a price of 95.93p per share.

Following this acquisition, Mr Strachan has a beneficial interest in 18,022
ordinary shares of 2.5p each ('shares') in Group.



Non Executive Directors' sale & purchase

On 25 March 2004 Frances Heaton, a non-executive director of Legal & General
Group Plc ('Group'), sold 7,032 ordinary shares of 2.5p each ('shares') in Group
at a price of 96.07p per share. She then purchased 7,300 ordinary shares of 2.5p
each ('shares') in Group at a price of 96.93p per share today, 26 March 2004.

Following this acquisition, Mrs Heaton has a beneficial interest in 35,771
ordinary shares of 2.5p each ('shares') in Group.
