            On 17 November 2003 Ms. C R R Avery, a Director of Legal & General
            Group Plc ('Group'), exercised options over 32,978 ordinary shares
            of 2.5p each in Group at a price of 59.08p per share. The options
            were granted on 3 October 1996 under the Legal & General Group Plc
            Savings-Related Share Option Scheme (1991).

            Following this exercise, Ms Avery's current beneficial holding in
            Group now stands at 720,090.
