Results of General Meeting

The Company confirms that all resolutions proposed at today's General Meeting were passed by shareholders, including resolution 3 (the Whitewash Resolution) which was conducted by way of a poll.

It is expected that completion of the acquisition of the entire issued share capital of Epic Group Limited will take place at 8am on 8 November 2013.  Also on that date it is expected that the entire issued share capital of the Company as enlarged by the acquisition of Epic Group Limited will be admitted to trading on AIM ("Admission").

The Company has today changed its name to Learning Technologies Group plc and will trade under the ticker code LTG.L and the ISIN GB00B4T7HX10.

The Company also announces that with effect from Admission, Andrew Brode will hold 113,215,005 ordinary shares representing 41.05% of the total voting rights of the enlarged capital in aggregate and Jonathan Satchell will hold 113,214,995 ordinary shares representing 41.05% of the total voting rights of the enlarged capital in aggregate.

With effect from Admission, Andrew Brode and Jonathan Satchell will enter into a relationship agreement with the Company and Numis Securities Limited.  Pursuant to this agreement, Mr Brode and Mr Satchell have given certain undertakings to the Company and Numis Securities Limited, details of which can be found on the Company's new website www.ltgplc.com.  These undertakings are given with the intention that the Company should be able to conduct its business independent of influence of such persons and their associates.
