We would like to notify the market of the following change to the capital of the
Company:



The Company's capital consists of 170,564,546 ordinary shares with voting
rights.  The Company holds 1,620,000 ordinary shares in Treasury.



Therefore, the total number of voting rights in the Company is 168,944,546.



The above figure (168,944,546) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Kingspan Group plc under
the FSA's Disclosure and Transparency Rules.
