Directors' Notification of Dealing in Shares

Kingfisher plc became aware on 17 April 2000 that:

1.    Certain  Directors  of Kingfisher plc, whose names are  set  out  below,
  technically  became  interested on that date  in  5,920,800  Kingfisher  plc
  ordinary  shares of 12.5p each by virtue of the ESOP (a discretionary  trust
  established by Kingfisher plc for the benefit of its employees and those  of
  its  subsidiaries) exercising rights to require Kingfisher to  allot  shares
  under arrangements for it to satisfy share options granted to employees.

2.   Each of the below-named Directors of Kingfisher plc technically ceased to
  be  interested on that date in 5,920,800 Kingfisher plc ordinary  shares  of
  12.5p  each by virtue of the ESOP arranging for the allotment of such shares
  directly to the order of the employees exercising those options.

3.    Each  of the below-named Directors of Kingfisher plc technically  became
  interested on that date in 5,836,830 Kingfisher plc ordinary shares of 12.5p
  each by virtue of the ESOP purchasing 5,636,830 shares from employees who   
  had exercised options as aforesaid and a further 200,000 shares through the 
  Stock Exchange.

4.    Certain  directors  also became interested in the following  numbers  of
  shares by virtue of the grant to them on that date of options to acquire the
  numbers of shares set out against their names at a price of £5.21 under  the
  Company's   executive share option schemes, such options to  be  exercisable
  after at least three years and within 10 years of the date of grant:

  Mr Roger Holmes - granted: 143,953   (total shares under option: 521,777)
  Mr Philip Rowley- granted: 130,518   (total shares under option: 328,297)
  

Note:      For  Companies Act purposes, certain Directors of  Kingfisher  plc,
whose names are set out below, together with all employees of the Company, are
deemed  to have a technical interest in any shares in which Kingfisher's  ESOP
has  an  interest.  The interest ceases when the ESOP ceases to have  such  an
interest.
