Kingfisher plc became aware on 8 August 2002 that certain Directors of
Kingfisher plc, whose names are set out below, technically became interested in
the following Kingfisher plc ordinary shares of 13.75p each, which were acquired
by the Trustees of the Kingfisher 1993 Employee Share Ownership Plan Trust
('ESOP') (a discretionary trust established by Kingfisher plc for the benefit of
its employees and those of its subsidiaries):



Subscription, at a price of 155 pence, to the rights in 6,862,422 shares and
which was funded by the sale, nil paid, of the balance of their rights
entitlement.



Note:

For Companies Act purposes, certain Directors of Kingfisher plc, whose names are
set out below, together with all employees of the Company, are deemed to have a
technical interest in any shares in which the ESOP has an interest.
