Kier Group plc announces that on 7 December 2004 the following were allotted 
new ordinary shares at a price of 729.3p per share instead of cash in respect
of the final dividend for the year ended 30 June 2004:

Mr R W Gregory:     473 shares
Mr R W Side:         67 shares
Mr P T Warry:       131 shares

Following these transactions their total shareholdings were:

Mr R W Gregory:     27,840 shares - 0.08% of issued capital.
Mr R W Side:       153,981 shares - 0.43% of issued capital.
Mr P T Warry:        7,534 shares - 0.02% of issued capital.
