Following this sale Mr Side's total interest in the shares of Kier Group plc is
153,896 shares, representing 0.43% of the issued capital.

The shares sold represent those shares which vested to Mr Side on 1 October 2004
under the Kier Group 1999 Long Term Incentive Plan as previously announced.
