Kier Group plc announces that on 21 May 2002 the following acquired ordinary
shares at a price of 711.75p per share through re-investment of dividends in
non-discretionary single company PEP's:

Mr C R W Busby and Mrs M L Busby - 18 shares

Mr M P W Scarth and Mrs E V M Scarth - 20 shares

The registered holder of the above shares is RBSTB Nominees Limited

Following these transactions the beneficial holdings of the abovementioned
directors and their spouses were:

Mr and Mrs Busby - 601,625 shares (1.8% of the issued share capital)

Mr and Mrs Scarth - 407,908 shares (1.2% of the issued share capital)
