Kier Group Share Incentive Plan

Kier Group plc (the "Company") announces that on 10 December 2018, certain of its directors and persons discharging managerial responsibilities ("PDMRs") and, where indicated below, their closely associated persons sold nil paid rights relating to ordinary shares of 1 pence each in the capital of the Company (each a "Nil Paid Right") in connection with the  Kier Group Share Incentive Plan, with the intention of using the proceeds to take up further Nil Paid Rights pursuant to the Company's rights issue, which was announced on 30 November 2018, as follows:
