The Company has been informed that on 28 November 2012 the Trustee of the Kier Group All Employee Share Ownership Plan reinvested final dividend entitlements by acquiring ordinary shares in the Company at a price of £11.73 per ordinary share for the beneficial ownership of the following:

Mr S Bowcott	44 shares
Mr I M Lawson	83 shares
Mr H J Mursell	11 shares
Mr H E E Raven (PDMR)	15 shares

Following these transactions, the total beneficial holdings of the above individuals were:
