DIRECTORS' SHARE TRANSACTIONS

Kier Group plc (the "Company") announces that on 9 July 2012 Mr Michael Paul Sheffield, a director of the Company, acquired 1,220 shares in the capital of the Company following an exercise of options under the Kier Group plc 2006 Sharesave Scheme at an option price of £7.50 per share.

Upon exercise, the shares were transferred into the name of his spouse, Mrs Caroline Julia Sheffield.

Following this transaction, Mr Sheffield's total beneficial interests in the share capital of the Company were 45,595 shares, representing 0.116% of the issued share capital.
