Further to the announcement on 18 March 2021, Keywords Studios, the international technical and creative services provider to the global video games industry, today announces the issuance of 368,750 new ordinary shares being the initial share consideration for the Company's 85% investment[1] in Tantalus Media Pty Ltd ("Tantalus").  The 368,750 new ordinary shares will be subject to a one-year lock-in period and orderly market provisions for a further one year period.  Subject to performance targets for Tantalus over two years, further consideration of up to US$16.2m, in a mix of cash and new ordinary shares, will become payable to the vendor of the 85% shareholding. 

 

Since the acquisition, the shares to be issued have been fully represented in the reported earnings per share numbers through the basic and diluted weighted average denominators used. 

 

Application has been made to the London Stock Exchange for the admission of 368,750 new ordinary shares to trading on AIM.  Admission of the new shares is expected to take place at 8:00am on 15 April 2021.  The Company's total issued share capital following admission will consist of 74,833,622 ordinary shares of one pence each with one voting right per share.  The figure of 74,833,622 may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company following admission.
