Directorate Changes


The Articles of Association of Kerry Group plc stipulate that any Director of
the Company who, being a Director of Kerry Co-operative Creameries Limited
(KCC), resigns from the Board of KCC shall cease to be a Director of Kerry Group
plc.

Accordingly, Mr. Michael Gabbett, who retired as a Director of KCC, ceased to be
a Director of Kerry Group plc with effect from 12 December 2003.

On the same date, Mr. Denis Buckley, having retired as a Board member of KCC,
ceased to be a Director of the Company but was co-opted by the Board of Kerry
Group plc as a Director and Chairman.
